Shic Terms of Service

1. Introduction

Welcome to Shic, a web application that allows users and creators to generate custom designs using artificial intelligence and print them on various objects such as t-shirts, mugs, notebooks, and more (the "Service"). The Shic Service is located at https://shic.ai and is operated by Shic, LLC. By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). We offer the Service subject to the Terms of Service, specifically including Shic’s Privacy Policy and Acceptable Use Policy. If you do not agree to these Terms, you may not use the Service.

2. Eligibility                                               

You must be at least 13 years old to use our Service. If you are under 18 years old, you may use the Shic Service only with the approval of your parent or guardian. By using the Service, you represent and warrant that you the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. Registration data and personal information about you are governed by our Privacy Policy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Moreover, you are full responsible for any and all activities that occur under your password or account. Please urgently notify Shic in case of any unauthorized use of your password or account or any other breach of security.

4. User-Generated Content

4.1 Ownership and License

When you create or upload content using our AI tools or otherwise through the Service, you retain ownership of your content. However, by generating content, you grant Shic a worldwide, non-exclusive, non-expiring, royalty-free license to use, reproduce, modify, adapt, publish, distribute, commercializing, and displaying such content in connection with providing and promoting the Service.

4.2 Content Guidelines

You agree not to upload, post, or otherwise transmit any content that:

• Infringes on any intellectual property or other proprietary rights of any party;
• Is unlawful, defamatory, obscene, or otherwise objectionable;
• Violates any applicable law, regulation, or these Terms.

Shic reserves the right to remove any content that violates these guidelines or is otherwise deemed inappropriate at our sole discretion.

5. AI-Generated Content

Shic provides tools that allow users to generate content using artificial intelligence. While we strive to ensure the accuracy and quality of AI-generated content, we cannot guarantee that all generated content will be free from errors or inaccuracies. You acknowledge that AI-generated content may require further modification or editing before use.

6. Purchasing and Payments

6.1 Orders

When you place an order through the Service, you agree to pay the price listed at the time of your order, including any applicable taxes and shipping fees. All orders are subject to acceptance by Shic, and we reserve the right to cancel or refuse any order at our sole discretion. However, by placing an order, you enter into an obligation to pay for the Merchendise.

6.2 Shipping and Delivery

We will make every effort to ensure that your order is delivered within the estimated delivery time. However, we are not responsible for delays caused by shipping carriers or other factors beyond our control.

6.3 Returns and Refunds

You acknowledge and agree that the goods produced by us for you made for order and they are produced specifically for you once you place an order. We do not hold an inventory and would not, but for your order, have produced the goods. You have no right to cancel any order or return any goods and all orders are final. Nothing in this section affects your legal rights

6.4 Price

The price of the Product is as presented on the Shic Servic. Shic reserves the right to determine pricing for the Canvas Tools (the “CT Fee”). Shic will make reasonable efforts to keep CT Fee information published on the Service. Shic may change the CT Fees without providing an advanced notice of change before such charges apply. All CT Fees are non-refundable unless otherwise specified herein.

6.5 Payment Processing

We may use a third-party payment processor (“Payment Processor”) to process your payments for Merchandise or Creator Tools. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to these Terms of Service. We are not responsible for error by the Payment Processor. By clicking the “Buy now” or “Subscribe” button on the checkout page, you agree to pay us, through the Payment Processor, all charges at the prices then in effect for any Merchandise or Creator Tools ordered in accordance with the applicable payment terms and you authorize us, through the Payment Processor, to charge your chosen payment provider (“Payment Method”). You agree to make payment using that selected Payment Method. We reserve the right to correct any errors or mistakes that the Payment Processor makes even if it has already requested or received payment.

6.6 Payment Method

Payments for orders must be made through the payment methods provided on the Service. You represent and warrant that you have the legal right to use any payment method you choose. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method. If we, through the Payment Processor or otherwise, do not receive payment from you, you agree to pay all amounts due upon demand. You are responsible for paying all fees and applicable taxes associated with the Goods or Canvas Tools ordered in a timely manner with a valid payment method. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms. If your Payment Method is not authorized or accepted, Shic may cancel your order with no further liability or obligation to you. Shic reserves the right to stop accepting credit cards from one or more issuers at any time.

6.7 Delinquent Accounts

Shic may suspend or terminate access to the Spring Services, for any account for which any amount is due but unpaid. In addition to the amount due for the Shic Services, a delinquent account may be charged fees or charges that are incidental to any chargeback or collection of any the unpaid amounts, including collection fees. If your payment method is no longer valid at the time a renewal Subscription Fee is due, then Shic reserves the right to immediately terminate your access to the Subscription Services.

6.8 Waiver

Your purchase of an item using the Shic Service constitutes a waiver of any and all intellectual property, proprietary, personal, and privacy claims relating to that purchase.

7. Intellectual Property

7.1 Shic Intellectual Property

All materials on the Service, including but not limited to text, graphics, logos, and software, are the property of Shic or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any of these materials without our prior written permission.

7.2 User-Generated Content

As outlined in Section 4, you retain ownership of the content you create or upload using the Service. However, you grant Shic a license to use this content as described in Section 4.1.

8. Prohibited Activities

You agree not to:

• Use the Service for any illegal or unauthorized purpose;
• Interfere with or disrupt the Service, servers, or networks connected to the Service;
• Attempt to gain unauthorized access to any part of the Service or any other accounts, systems, or networks.

9. Termination

We may terminate or suspend your account and access to the Service at any time, without notice or liability, for any reason, including if you breach these Terms. Upon termination, all licenses and rights granted to you under these Terms will immediately cease.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, Shic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, arising out of or in connection with your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless Shic, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

13. Governing Law

3. Malicious Activities:

4. Spam and Misuse:

Political and Misinformation

• Designs that propagate false information, conspiracy theories, or unverified claims meant to mislead or harm public opinion.

• Political content advocating extremist ideologies, inciting violence, or promoting divisive propaganda.

• Misuse of the platform for electoral interference, unauthorized political campaigning, or advocacy for harmful ideologies.

Tobacco, Alcohol, or Drugs

• Content glorifying or promoting the consumption of illegal substances, recreational drugs, or drug paraphernalia.

• Designs targeting minors with depictions of tobacco, alcohol, or drug use.

• Promotion of excessive or irresponsible consumption of alcohol or substances.

Infringing Content

• Impersonation of individuals, celebrities, or entities without proper authorization.

• Designs that misuse or exploit personal data, violate privacy rights, or promote doxxing.

• Content using another individual's likeness or private information without explicit consent.

Other Restricted Topics

• Content encouraging illegal gambling, financial scams, or pyramid schemes.

• Designs that promote cybercrime, hacking, or exploitation of digital systems.

• Use of the platform for creating counterfeit goods or fraudulent branding.

3. Reporting Violations

If you encounter a user or content that violates this Acceptable Use Policy, please report it immediately to support@shic.ai. All reports will be investigated promptly. Depending on the severity of the violation, SHIC.ai may take action including but not limited to:

• Removing the reported content.

• Suspending or terminating the violating account.

• Reporting the violation to law enforcement, if applicable.

4. Enforcement and Consequences

2. Account Suspension or Termination: Temporary or permanent disabling of user accounts found in violation.For users found to be in violation of this policy, SHIC.ai reserves the right to suspend or permanently terminate their accounts.

4. Fee and Payment Consequences for Violations: Refunds for services will not be provided for accounts or content terminated due to violations of this policy. Additionally, any consignment fees or royalties earned through sales facilitated by SHIC.ai may be forfeited or denied if violations are identified.
   
   SHIC.ai reserves the right to withhold or revoke payments to users whose accounts are terminated for misconduct, including those who provide content in violation of intellectual property laws or engage in fraudulent activities. In such cases, SHIC.ai may redirect consignment fees to address damages, legal costs, or to rectify affected users' experiences.
   
   

5. Communication with Users: Users whose content or accounts are flagged may not be notified of the violation and the action taken. SHIC.ai may provide an opportunity for users to appeal decisions in specific cases.

By taking these enforcement actions, SHIC.ai ensures that the platform remains a safe and inclusive space for all users. Repeated violations or failure to comply with this policy may result in permanent loss of access to SHIC.ai’s services.
